1. Scope and Applicability

These Terms of Service govern purchases made through the website operated by OÜ Top Textile (hereinafter “Seller”).

These Terms apply to both:

Consumers - natural persons acting outside their trade, business, or profession.
Business customers - legal entities or natural persons acting in the course of business.

Certain provisions apply only to consumers, as required under EU and Estonian law.

2. Product Information

Product descriptions, images, and specifications are presented as accurately as possible. Minor variations in color, appearance, or packaging may occur.

Durability and performance of workwear depend on usage conditions, care, and working environment. Care instructions must be followed.

3. Prices and Payment

All base product prices are set in euros (EUR) and include VAT where applicable.

For customers who select a different display currency, prices are automatically converted from EUR into the selected currency using the exchange rate applicable at the time of purchase. Due to exchange rate fluctuations and payment provider policies, the final amount charged may vary slightly from previously displayed converted prices.

The currency displayed at checkout is the currency in which the customer will be charged.

Delivery costs are displayed during checkout before payment confirmation.

The customer’s obligation to pay arises when placing the order by confirming payment.

Accepted payment methods are displayed at checkout.

Refunds will be issued using the same payment method used for the original transaction, unless this is not technically possible or the customer expressly agrees to an alternative method. No additional fees will be charged to the customer in connection with the refund.

4. Formation of Contract

The sales contract is concluded when the Seller sends an order confirmation email.

The Seller reserves the right to refuse or cancel orders in case of technical errors, pricing errors, or stock inaccuracies.

5. Delivery

Delivery times are estimates and may vary.

For consumers, the risk of loss or damage transfers when the goods are delivered into the consumer’s physical possession.

For business customers, risk transfers upon delivery to the carrier unless otherwise agreed.

6. Right of Withdrawal (Consumers Only)

Consumers have the right to withdraw from the contract within 14 days without giving any reason.

The withdrawal period expires 14 days after the day the consumer receives the goods (or the last item in case of multiple deliveries).

To exercise the right of withdrawal, the consumer must notify the Seller by a clear statement sent to:

Effects of Withdrawal

If the consumer withdraws:

The purchase price of the returned goods will be refunded.
The standard delivery cost will be refunded (if applicable).

Refunds will be made without undue delay and no later than 14 days from the day the Seller receives the returned goods or evidence that the goods have been sent back, whichever occurs first.

Refunds will be issued using the same payment method used for the original transaction, unless expressly agreed otherwise.

The Seller may withhold reimbursement until the returned goods have been received or the consumer has provided evidence of having returned the goods.

Return Conditions

Returned goods must:

Be unused and unwashed
Be undamaged
Be returned in original packaging
Not be personalized or custom-made

The consumer is liable for any diminished value resulting from handling beyond what is necessary to establish the nature and characteristics of the goods.

Exceptions to Withdrawal

The right of withdrawal does not apply to:

Goods made to the consumer’s specifications
Clearly personalized or custom products

7. Exchanges

Exchanges are offered as a commercial service by OÜ Top Textile.

Replacement items are dispatched after the returned goods have been received and inspected.

For orders delivered within Estonia, free returns and exchanges are offered via parcel machines.

For international orders, the customer is responsible for return shipping costs unless the item is defective.

Exchanges are subject to product availability at the time of processing.

8. Legal Conformity Guarantee (Consumers)

For consumer purchases, products are covered by a 2-year legal conformity guarantee under EU and Estonian law.

This guarantee applies to defects that existed at the time of delivery.

If a defect becomes apparent within 2 years, the consumer has the right to request repair or replacement. If repair or replacement is impossible or disproportionate, the consumer may request a price reduction or refund.

Defects must be reported within a reasonable time after discovery (within 2 months is considered reasonable).

The guarantee does not cover:

Normal wear and tear
Damage caused by misuse
Improper care or washing
External mechanical or chemical damage

During the first year after delivery, a defect is presumed to have existed at delivery unless proven otherwise.

9. Business Customers (B2B)

For business customers, statutory consumer protection provisions do not apply.

Orders and Payment

Business orders are confirmed via email. An invoice is issued when the order is ready for delivery unless otherwise agreed.

Invoices are payable within 7 days from the invoice date.

Full payment must be received before the goods are dispatched. The Seller is not obliged to ship goods prior to receipt of payment.

Custom and Personalized Products

For custom-made or personalized products (including logo embroidery or special modifications), the order becomes binding once confirmed in writing.

Such products cannot be cancelled after production has commenced.

Late Payment

In case of delayed payment, the Seller is entitled to charge statutory default interest and claim reasonable recovery costs in accordance with applicable Estonian law.

The Seller reserves the right to suspend further order processing or deliveries if the customer has outstanding unpaid invoices.

Retention of Title

Ownership of goods remains with OÜ Top Textile until full payment has been received.

10. Limitation of Liability

The Seller is not liable for damages resulting from improper use, failure to follow care instructions, or normal wear and tear.

Nothing in these Terms excludes liability where exclusion is not permitted under applicable law.

11. Intellectual Property

All website content, including text, images, designs, and trademarks, is the property of OÜ Top Textile and may not be used without prior written permission.
